The Fontspring 360 Font End User License Agreement Version 1.7.0 - May 3rd, 2017 By downloading, installing and/or embedding font software (“Font”) offered by Fontspring or its distributors, you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”): 1. Right Granted Fontspring grants Licensee a perpetual, worldwide, non-exclusive and non-transferrable license to: a. Use the Font to create and distribute graphics, logos, and artwork for display on any surface including computer screens, television screens, paper, physical products, or any other surface. The created graphics may be a fixed size (e.g. JPG, PNG, etc.) or a static vector (e.g. SVG, EPS, etc. made with a “create outlines” tool). b. Install the font on an unlimited number of computers owned by Licensee and for an unlimited amount of users that work for Licensee. c. Embed the Font into an unlimited number of copies, format types, and subsequent versions of Ebooks. d. Modify or convert the Font to improve the font's appearance or performance in an Ebook e. Link the Webfont to Websites using the @font-face selector in CSS files. f. Embed the licensed Font into an unlimited number of copies and subsequent versions of the Application(s) (“App” or “Apps”). g. Port the app to any other platform or console (iOS, Windows, Android, Linux, Playstation, Xbox, etc). h. Embed the Font within Platforms (software or HTML) that allow the Platform end-user(s) (“End-user”) to create custom graphical designs with the Font. i. Use the Font to output, create or generate graphical designs created by the Platforms's End-user. j. Licensee may embed the font in Apps designed to display ads or widgets (“Widgets”) in third party websites. k. embed the Font into an unlimited quantity of devices (“Devices”) such as phones, televisions, or printers where the Font is used as the resident font of the Device. l. Modify or convert the Font to improve the Font's appearance or performance in the App. m. Use the font in any other way that is limited in section 2. 2. Requirements and Restrictions Licensee agrees to abide by the following requirements and restrictions: a. When the Licensee uses the Font provided by Fontspring under this EULA, and the Font file is distributed as part of an Ebook, the Font must be embedded within an archive file format that obscures the original data using compression, encryption, or obfuscation. Valid archive formats for the that meet these criteria include, but are not limited to, PDF, EPUB 2.01, EPUB 3, and KF8. b. The Font must take the form of a non-executable file that is interpreted by e-reading software or e-reading devices. c. The Font may not be installed in the operating system on which the Ebook runs. d. Licensee must use the Webfont provided by Fontspring under this EULA. Licensee may not link to the full, CFF OpenType or TrueType font designed for desktop installation. e. Licensee must include the entire commented header in the provided CSS file. f. Licensee may only install the Webfont on Websites that it owns or controls, excluding HTML ads. g. Licensee may embed Webfont in reports generated by the Website(s), provided that Licensee does not sell the reports for profit. h. Licensee may not redistribute the Font with the App’s source code. i. Licensee may not install the Font in the operating system the App runs on. j. Licensee may not embed the Font in an App that enables an end user to create custom typesetting with the Font. (e.g. Photoshop Express for iOS, etc) k. Licensee may embed the Font in reports that the App saves or exports, provided that the reports are not sold for profit. l. Except to employees of Licensee, or in the case of section 3, Licensee may not distribute Font files to any outside persons or companies freely or for profit. 3. Provision to Third Parties Licensee may temporarily provide the Font to a producer, publisher or other agent who is working on behalf of the Licensee. The third party designer, developer, agent, or independent contractor must: (1) Agree in writing to use the Font exclusively for Licensee's work, according to the terms of this EULA. (2) Retain no copies of the Font upon completion of the work. 4. Term This EULA grants a perpetual license for the rights set forth in Paragraph 1 unless and until the EULA terminates under Paragraph 8. Fontspring will not charge additional fees post purchase, annually or otherwise. 5. Other Usage Licenses for website template distribution, website templates, and other uses not allowed by this Agreement may be available for an additional fee. Modifications Licensee may not modify the Font files, or create derivative fonts based on the Font without prior written consent from Fontspring or the owning Foundry EXCEPT THAT Licensee may generate files necessary for embedding or linking in accordance with this EULA. 7. Copyright The Font is protected by copyright law. The Foundry is the sole, exclusive owner of all intellectual property rights, including rights under copyright and trademark law. Licensee agrees not to use the Font in any manner that infringes the intellectual property rights of the Foundry or violates the terms of this EULA. Licensee will be held legally responsible, and indemnifies Fontspring, for any infringements on the foundry's rights caused by failure to abide by the terms of this EULA. 8. Termination This EULA is effective until terminated. If Licensee fails to comply with any term of this EULA, Fontspring may terminate the EULA with 30 days notice. This EULA will terminate automatically 30 days after the issuance of such notice. 9. Refunds and Disclaimer Fontspring will, at the User's request, provide a refund for the Font if: a. The Font has not been used in any published or released work. b. No more than 30 days have passed since the date of purchase, specified on the Invoice. c. The Font has been uninstalled and deleted from all Licensee’s computers. 10. Governing Law This EULA is governed by the laws of the United States of America and the State of Delaware. 11. Entire Agreement This EULA, in conjunction with the Invoice (“Invoice”) that accompanies each Font licensed from Fontspring or its distributors, constitutes the entire agreement between Fontspring and Licensee. 12. Modification The Parties may modify or amend this EULA in writing. 13. Waiver. The waiver of one breach or default hereunder shall not constitute the waiver of any subsequent breach or default. 14. Right to License Fontspring has all right, and the full power and authority, to license the fonts on behalf of the creator Foundries represented on its website, arising out of its contractual relationship and existing agreements with the respective Foundries. 15. Indemnification Fontspring agrees to defend and/or handle at its own cost and expense any claim or action against Licensee, its affiliates and their officers, directors, employees, representatives and agents (the “Licensee Indemnitees”) based upon or in connection with any action or claim by a third party arising out of any actual or alleged breach of any of Fontspring’s representations and warranties contained in this Agreement. Fontspring agrees to indemnify and hold the Licensee Indemnitees harmless from and against any and all liabilities, losses, damages, costs and expenses (including, without limitation, reasonable attorneys’ fees) associated with any such claim or action. Fontspring shall solely conduct the defense of any such claim or action and all negotiations for its settlement or compromise; provided, however, that Licensee has the right to participate, at its own expense, in the defense and/or settlement of any such claim or action in order to protect its own interests; and further provided that Fontspring shall not settle any claim or action without Licensee's prior written consent where such settlement includes a finding of liability or culpability on behalf of Licensee.

Usages

@font-face

You can embed the font in your HTML/CSS allowing your viewers to see your custom typography even if they don't have the font installed on their computer. We provide you with all the files you need and embedding instructions.

Branding

You may brand your business with this font. If your business becomes very successful, you will not need to pay any additional fees. If you are a branding company, you may create brands for your clients as well. However, if your client would like to the font use on their computers, they must purchase their own license.

Digital Magazines

You can embed fonts in digital magazines. Any format is allowed but the license is limited to a single issue of the magazine. If you want to use the font for multiple issues, look for an unlimited ebook license.

Ebooks

You can embed fonts for use in ebooks. The license allows embedding in any ebook format (EPUB, MOBI, AZW, PDF, etc.) and is limited to a single ebook title.

EPUBS

Embed fonts in EPUBS. One license cover unlimited copies, versions and formats.

Greeting Cards

You may use the font to create greeting cards. They may be for you, your business, to be sold for profit, and/or to be intended for resale by your customers. However, you cannot use the font in a system that allows your customers to create and customize their own greeting cards. An additional license may be available for this use.

KF8s

Embed fonts in KF8 format Ebooks. One license cover unlimited copies, versions and formats.

Logos

You can create logos for yourself or your clients.

Movie Captions

You may use the font to create captions for your movie creations, but you cannot embed the font in movie software you sell or in the movie itself... In other words, make sure that the recipient of your product cannot extract the font file. If you need to embed the font, an additional license may be available.

Movie Credits

You may use the font to create movie credits for your movie creations, but you cannot embed the font in movie software you sell or in the movie itself... In other words, make sure that the recipient of your product cannot extract the font file. If you need to embed the font, an additional license may be available.

Movie Titles

You may use the font to create titles for your movie creations, but you cannot embed the font in movie software you sell or in the movie itself... In other words, make sure that the recipient of your product cannot extract the font file. If you need to embed the font, an additional license may be available.

PDFs

You may create read-only, non-editable PDF files. Extended PDF embedding is available with an ebook license.

You may use the font to create t-shirts. They may be for you, your business, to be sold for profit, and/or to be intended for resale by your customers. However, you cannot use the font in a system that allows your customers to create and customize their own t-shirts. An additional license may be available for this use.

Web Apps

You can embed the font in web-based applications that requre a browser to access. Web apps typically emulate the functionality of an installable program without needing to be installed, and don’t lend themselves to easy pageview monitoring.

Website Embedding

You can embed the font in your HTML/CSS allowing your viewers to see your custom typography even if they don't have the font installed on their computer. We will provide you with all the files you need and embedding instructions.
