End User License Agreement (EULA) Soneritype Font Software End User License Agreement We request that you read and/or print this Font Software End User License Agreement. This Font Software End User License Agreement (the “Agreement”) becomes a binding contract between you and Soneritype when you download, install and/or use the Font Software. If you do not wish to be bound by the Agreement, you cannot access, download, install and/or use the Font Software. You hereby agree to the following terms and conditions: 1. Binding Agreement You are bound by the Agreement and you acknowledge that all Use of the Font Software supplied to you by Soneritype is governed by the Agreement. 2. License Grant You are hereby granted a non-exclusive, non-assignable, non-transferable license to access the Font Software (i) only in a Licensed Unit, (ii) only for your Personal or Internal Business Use, and (iii) only subject to all of the terms and conditions of the Agreement. 3. Allowed Uses  You may use the licensed fonts to create images on any surface such as computer screens, paper, web pages, photographs, printed material, and other surfaces where the image is a fixed size. You may use the licensed fonts to create EPS files or other scalable drawings provided that such files are only used by the household or company licensing the font. 4. Number Of Users  The maximum number of simultaneous users is specified in the applicable receipt. All users must belong to the same company or household purchasing the font. 5. Third Parties  You may provide the font to a graphic designer, printer or other service bureau that is working on your behalf only for print and view your document. In the event of any modifications to the document or create additional document, the graphic designer, printer or other service bureau must purchase its own Font Software licenses. 6. Embedding Font Software You may embed the Font Software only into an electronic document that (i) is not a Commercial Product, (ii) is distributed in a secure format that does not permit the extraction of the embedded Font Software, and (iii) in the case where a recipient of an electronic document is able to Use the Font Software for editing, only if the recipient of such document is within your Licensed Unit. You may embed static graphic images into an electronic document, including a Commercial Product, (for example, a “gif”) with a representation of a typeface and typographic design or ornament created with the Font Software as long as such images are not used as a replacement for Font Software, i.e. as long as the representations do not correspond to individual glyphs of the Font Software and may not be individually addressed by the document to render such designs and ornaments. a. Electronic Document Embedding  You may embed the Font Software in an electronic document solely for print and view and provide such electronic document to a commercial printer for printing only. Such documents may be viewed and printed (but not edited) by the recipients. b. Web Embedding  You may embed the licensed fonts into a web site via the following mechanisms: i. Dynamic text in Flash  No additional license is required.  Security: you must take care of the highest level of protection of the embedded fonts. ii. Embedded using SIFR (Scalable Inman Flash Replacement)  No additional license is required.  Security: you must take care of the highest level of protection of the embedded fonts. iii. Cufon  No additional license is required.  Security: you MUST restrict usage (via the Security setting) to one SINGLE domain. You may not reduce the Units Per Em (UPM) quality of the fonts generated by Cufon below 360 UPM. c. Hardware and Software Embedding  You may not under any circumstances embed the licensed fonts into software or hardware products in which the fonts will be used by the purchasers of such products. Such use requires a different license which is offered by the SoneriType. Please contact aakashsoneri@gmail.com for further information. 7. Server Use The Font Software may not be installed or Used on an internal or external (i.e., internet accessed) server unless Server License is obtained separately. 8. Modifications/Alterations to Font Software You may not alter Font Software for the purpose of adding any functionality that such Font Software did not have when delivered to you by Soneritype or other reseller. You may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the licensed font itself without SoneriType’s prior written consent. You may import characters from the font as graphical objects into a drawing program and modify such graphical objects.  9. Transfer of the Font Software You may not rent, lease, sublicense, give, lend, or further distribute the Font Software, or any copy thereof, except as expressly provided herein. You may transfer all your rights to use the Font Software to another person or legal entity provided that (i) the license is unused since purchased (ii) the transferee accepts and agrees to be bound by all the terms and conditions of the Agreement and (iii) you destroy all copies of the Font Software, including all copies stored in the memory of a hardware device. If you are a business or organization, you agree that in case of a reasonable doubt with regard to the proper Use of the Font Software within your organization, upon request from Soneritype or its authorized representative, you will within thirty (30) days fully document and certify that Use of any and all Soneritype Font Software at the time of the request is in conformity with your valid licenses from Soneritype. 10. Copies You may make one back-up copy of Font Software for archival purposes only, and you shall retain exclusive custody and control over such copy. Any copies that you are expressly permitted to make pursuant to the Agreement must contain the same copyright, trademark, and other proprietary notices that appear on or in the Font Software. Upon termination of the Agreement, you must destroy the original and any and all copies of the Font Software. 11. Intellectual and Industrial Property Rights The font and the accompanying materials are copyrighted and contain proprietary information and trade secrets belonging to the SoneriType. Unauthorized copying of the Product even if modified, merged, or included with other software, or of the written materials, is expressly forbidden. You may be held legally responsible for any infringement of the foundry’s intellectual property rights that is caused or encouraged by your failure to abide by the terms of this Agreement. You agree that the Font Software is protected by the copyright law and other intellectual and industrial property rights of the India and its various States, by the copyright law and other intellectual and industrial property rights of other nations, and by international treaties. You agree to treat the Font Software as you would any other copyrighted material, such as a book. You may not copy the Font Software, except as expressly provided herein. You agree not to adapt, modify, alter, translate, convert, or otherwise change the Font Software, or to create Derivative Works from Font Software or any portion thereof. You further agree not to use Font Software in connection with software and/or hardware which create Derivative Works of such Font Software. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or instructions of the Font Software. You agree that Soneritype owns all right, title and interest in and to the Font Software, its structure, organization, code, and related files, including all intellectual and industrial property rights therein such as copyright, design and trademarks rights. You agree that the Font Software, its structure, organization, code, and related files are valuable property of Soneritype and that any intentional or negligent Use of the Font Software not expressly permitted by the Agreement constitutes an infringement of intellectual and industrial property rights. 12. Termination  This Agreement is effective until terminated. This Agreement will terminate automatically without notice from SoneriType if you fail to comply with any provision contained herein. Upon termination, you must destroy the written materials, the Product, and all copies of them, in part and in whole, including modified copies, if any allowed in past. The termination of the Agreement shall not preclude Soneritype from suing you for damages of any breach of the Agreement. The Agreement may only be modified in writing signed by an authorized person of Soneritype. 13. Product Upgrades  SoneriType may, from time to time, update the Product. Product upgrade pricing may apply. 14. Disclaimer and Warranty  SONERITYPE MAKES NO WARRANTIES, EXPRESS OR IMPLIED AS TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR OTHERWISE. WITHOUT LIMITING THE FOREGOING, SONERITYPE SHALL IN NO EVENT BE LIABLE TO THE LICENSED USER OR ANY OTHER THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING DAMAGES FROM LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, ARISING OUT OF THE USE OR INABILITY TO USE THE PRODUCT EVEN IF NOTIFIED IN ADVANCE. UNDER NO CIRCUMSTANCES SHALL SONERITYPE'S LIABILITY EXCEED THE REPLACEMENT COST OF THE SOFTWARE. YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. THE FONT SOFTWARE IS NON-RETURNABLE AND NONREFUNDABLE. 15. Governing Law  This agreement is governed by the laws of the INDIA.
