Durotype Standard License Agreement

When you buy a Durotype font, you actually buy a license, i.e. a right to use the font. So, when you purchase a Durotype font license, the font is still owned by Durotype. You buy this license strictly for yourself or your company. You have no right to give a copy of a Durotype font to your friends or business partners. (A Durotype font is computer software designed to generate the characters of a font face.)

By downloading and/or installing a Durotype font, you (or you on behalf of your employer) agree to be bound by the terms of this agreement. This agreement, in conjunction with the receipt that accompanies each purchase from Durotype or its distributor, constitutes the complete agreement between you and Durotype or its distributor.

1. Number of Users
The maximum number of simultaneous users is specified in the applicable receipt. All users must belong to the same company or household purchasing the font.

2. Allowed Uses
You may use a Durotype font to create an unlimited number of images on any surface such as paper, computer screens, photographs, web pages, movie credits, printed material, T-shirts, and other surfaces, where the image has a fixed size. You may use a Durotype font to create EPS files or other scalable drawings, provided that such files are only used by the company or individual licensing the font.

3. Fair Use
You need a special license for using a Durotype font, if it is a primary design element of a product sold for profit, or if it is used for a large scale campaign (advertising, corporate identity design, product packaging, entertainment promotion, store signage). This applies to both in-house and client-based work. Contact Durotype for a special license. If a Durotype font is a demo font, you may only use it for testing purposes.

4. Backup
You may make a backup copy of a Durotype font (only for the purpose of data backup).

5. Third Parties
You may send a copy of a Durotype font along with your documents to a commercial printer or other service bureau to enable the printing of your document, provided that such party will use the font exclusively for your work and retain no copies of the font on completion of the work. If the printer or service bureau wants to edit your document, it should own a valid license to use that particular font.

6. Embedding
You may only embed a Durotype font into electronic documents, if it is done in a secured read-only mode. You must ensure that recipients of electronic documents cannot extract a Durotype font from such documents, or use the embedded font for editing purposes or for the creation of new documents. You may not embed a Durotype font into a web site. However, for using a Durotype font as webfont, your vendor may offer a webfont license. You need a special license for embedding a Durotype font into software or hardware products in which the font will be used by the purchasers of such products.Contact Durotype for a special license. For using a Durotype font in an e-book or a mobile application, your vendor may offer an additional license.

7. Modifications
You may import characters from the font as graphical objects into a drawing program and modify such graphical objects, provided that such objects are only used by the company or individual licensing the font. Other modifications are not allowed. You agree that any allowed modifications are considered derivative works, and that use of such derivative work is subject to the terms and conditions of this license agreement.

8. Exclusion of Other Uses
Except for the provisions of this agreement named "Third Parties" and "Embedding", you may not sell, lend or otherwise transfer a Durotype font to a third party or parties. You may not transfer a Durotype font to a third party or parties as a component or sub-component of other products, e.g. electronic documents or sublicenses. You may not modify, adapt, translate, rent, lease, distribute, produce, reverse engineer, decompile, disassemble, or redigitize a Durotype font.

9. Rights Reservation
Durotype reserves all rights not expressly granted to you under this license agreement. A Durotype font is solely for use in your own business or for your own personal use, and it remains Durotype's ownership at all times.

10. Copyright
Durotype retains ownership of a Durotype font and all subsequent copies of a Durotype font, regardless of the form or media in or on which the original and other copies may exist. A Durotype font and the accompanying materials are copyrighted and contain proprietary information and trade secrets of Durotype. Unauthorized copying of the font, even if modified, merged, or included with other software, or of the written materials, is expressly forbidden. You may be held legally responsible for any infringement of Durotype's intellectual property rights that is caused or encouraged by your failure to abide by the terms of this agreement. You agree to identify a Durotype font by name, and credit Durotype's ownership of the copyright in any design/production credits.

11. Termination
This agreement is effective until terminated. This agreement will terminate automatically without notice from Durotype, if you fail to comply with any term of this agreement. Upon termination, you must destroy the original and any copies of a Durotype font and the related documentation.

12. Governing Law
This agreement is governed by the laws of the Netherlands.


13. Disclaimer and Limited Warranty

Durotype or its distributor warrants the Durotype product to be free from defects in materials and workmanship under normal use for a period of 21 days from the date of delivery, as shown on your receipt. Durotype's or its distributor's entire liability and your exclusive remedy as to a defective product shall be, at Durotype's or its distributor's option, either return of purchase price, or replacement of any such product that is returned to Durotype or its distributor with a copy of the invoice. Durotype and its distributor shall have no responsibility to replace the product or refund the purchase price if failure results from accident, abuse or misapplication, or if any product is lost or damaged due to theft, fire, or negligence. Any replacement product will be warranted for 21 days. This warranty gives you specific legal rights. You may have other rights, which vary from jurisdiction to jurisdiction.

Except as expressly provided above, the product is provided "as is". Durotype and its distributor do not make any warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

The entire risk as to the quality and performance of the product rests upon you. Durotype and its distributor do not warrant that the functions contained in the product will meet your requirements, or that the operation of the product will be uninterrupted or error free.

Durotype and its distributor shall not be liable for any direct, indirect, consequential, or incidental damages (including damages from loss of business profits, business interruption, loss of business information, and the like) arising out of the use of, or inability to use, the product, even if Durotype or its distributor has been advised of the possibility of such damages.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

The Fontspring Webfont End User License Agreement
Version 1.7.0 - February 26, 2017

By downloading, installing and/or embedding font software (“Webfont”) offered by Fontspring or its distributors, you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”):

1. Right Granted
Fontspring grants Licensee a perpetual, worldwide, non-exclusive and non-transferrable license to link the Webfont to Websites using the @font-face selector in CSS files.

2. Requirements and Restrictions
Licensee agrees to abide by the following requirements and restrictions:
a. Licensee must use the Webfont provided by Fontspring under this EULA. Licensee may not link to the full, CFF OpenType or TrueType font designed for desktop installation.
b. Licensee must include the entire commented header in the provided CSS file.
c. The total traffic of the Website(s), measured in pageviews per month, may be no greater than the number of pageviews specified in the Invoice.
d. Licensee may only install the Webfont on Websites that it owns or controls.
e. Licensee may embed Webfont in reports generated by the Website(s), provided that Licensee does not sell the reports for profit.

3. Provision to Third Parties
Licensee may temporarily provide the Font to a producer, publisher or other agent who is working on behalf of the Licensee.

The third party designer, developer, agent, or independent contractor must:
(1) Agree in writing to use the Font exclusively for Licensee's work, according to the terms of this EULA.
(2) Retain no copies of the Font upon completion of the work.

4. Term
This EULA grants a perpetual license for the rights set forth in Paragraph 1 unless and until the EULA terminates under Paragraph 8. Fontspring will not charge additional fees post purchase, annually or otherwise.

5. Other Usage
Licenses for desktop use, computer applications and games, installable interactive books, software, mobile applications and games, Ebooks and Epubs, product creation websites, website template distribution, website templates, and other uses not allowed by this EULA may be available for an additional fee. Contact Fontspring at support@fontspring.com for more information.

6. Modifications
Licensee may not modify the Webfont or create derivative works based upon the Webfont without prior written consent from Fontspring or the owning foundry EXCEPT THAT Licensee may generate files necessary for embedding or linking in accordance with this EULA.

7. Copyright
The Webfont is protected by copyright law. The Foundry is the sole, exclusive owner of all intellectual property rights, including rights under copyright and trademark law. Licensee agrees not to use the Webfont in any manner that infringes the intellectual property rights of the Foundry or violates the terms of this EULA. Licensee will be held legally responsible, and indemnifies Fontspring, for any infringements on the foundry's rights caused by failure to abide by the terms of this EULA.

8. Termination
This EULA is effective until terminated. If Licensee fails to comply with any term of this EULA, Fontspring may terminate the EULA with 30 days notice. This EULA will terminate automatically 30 days after the issuance of such notice.

9. Refunds and Disclaimer
Fontspring will, at the User's request, provide a refund for the Font if:
a. The Font has not been used in any published or released work.
b. No more than 30 days have passed since the date of purchase, specified on the Invoice.
c. The Font has been uninstalled and deleted from all Licensee’s computers.

The Product is provided "as is." Fontspring makes no warranty of any kind, either expressed or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose.

The Fontspring Ebook Font End User License Agreement

By downloading, installing and/or embedding font software (“Font”) offered by Fontspring or its distributors, you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”):

1. Right Granted
Fontspring grants Licensee a perpetual, worldwide, non-exclusive and non-transferrable license to:
a. Embed the Font into an unlimited number of copies, format types, and subsequent versions of Ebooks.
b. Modify or convert the Font to improve the font's appearance or performance in an Ebook.

2. Requirements and Restrictions
Licensee agrees to abide by the following requirements and restrictions:
a. Licenses may embed the Font in ONLY the number of Ebook titles indicated in the Invoice.
b. When the Licensee uses the Font provided by Fontspring under this EULA, and the Font file is distributed as part of an Ebook, the Font must be embedded within an archive file format that obscures the original data using compression, encryption, or obfuscation. Valid archive formats for the that meet these criteria include, but are not limited to, PDF, EPUB 2.01, EPUB 3, and KF8.
c. The Font must take the form of a non-executable file that is interpreted by e-reading software or e-reading devices.
d. The Font may not be installed in the operating system on which the Ebook runs.

3. Provision to Third Parties

The Fontspring Application Font End User License Agreement

a. Embed the licensed Font into an unlimited number of copies and subsequent versions of the Application(s) (“App” or “Apps”).
b. Port the app to any other platform or console (iOS, Windows, Android, Linux, Playstation, Xbox, etc).
c. Modify or convert the Font to improve the Font's appearance or performance in the App.

2. Requirements and Restrictions
Licensee agrees to abide by the following requirements and restrictions:
a. Licensee may embed the Font into ONLY the number of Apps specified in the Invoice.
b. Licensee may not redistribute the Font with the App’s source code.
c. Licensee may not install the Font in the operating system the App runs on.
d. Licensee may not embed the Font in an App that enables an end user to create custom typesetting with the Font. (e.g. Photoshop Express for iOS, etc)
e. Licensee may embed the Font in reports that the App saves or exports, provided that the reports are not sold for profit.


3. Provision to Third Parties
The Licensee may temporarily provide the Font to a graphic designer, printer, agent, or independent contractor who is working on behalf of the Licensee. The Agents temporarily using the font are treated as licensed users and count toward the number of users specified on the Invoice. In the case of a single user license, the Licensee may temporarily provide the Font to a single third party without violating this EULA.

The third party designer, developer, agent, or independent contractor must:
(1) Agree in writing to use the Font exclusively for Licensee's work, according to the terms of this EULA.
(2) Retain no copies of the Font upon completion of the work.
