Greyletter License (single/multiuser)

End User License Agreement

This License Agreement ("Agreement") is a legal contract between you and Greyletter. As with all font purchases, either directly from the foundry or through a distributor, you are purchasing the right to use the Font Software ("Font") under certain conditions.
Downloading, installing or using Greyletter Fonts indicates your confirmation that you understand and agree to the terms of this Agreement, and that you have the authority to bind the person or entity specified on your sales receipt ("Licensee") to the terms of this Agreement.

1. GRANT OF LICENSE
Upon payment in full, Greyletter grants you a non-exclusive, non-transferable, revocable license to use our Fonts under the following terms and conditions outline in section 3. Licensee agrees not to duplicate, reproduce, sell, transfer, license, or otherwise distribute the Font Software in any form, except as expressly provided herein. Licensee agrees not to decompile, modify, reformat, translate, reverse-engineer or otherwise discover the source code of the Font Software. Licensee agrees not to make, or authorize or commission others to make, any additions, deletions or modifications to, or derivative works or fonts based on or substantially similar to, the Font Software without the prior written consent of Greyletter. Licensee agree not to alter Greyletter's copyright notices as contained in the Font Software.

2. ACCEPTANCE AND TERMINATION
This Agreement is shall be effective upon installation of the Font. Greyletter may terminate this Agreement for any material breach of this Agreement by Licensee upon thirty (30) days written notice to Licensee. The written notice shall identify the alleged breach(es) by Licensee and request a cure. If Licensee fails to cure the breach(es) within the thirty (30) day period, this Agreement shall automatically terminate. Upon termination of this Agreement for any reason, Licensee is required to return all original Font Software and any accompanying written material to Greyletter. Licensee shall also destroy all copies of the Font Software and certify to Greyletter that all copies of the Font Software have been destroyed. In the event of termination due to breach by Licensee, nothing herein shall be construed as a waiver of any of Greyletter’s rights or remedies under Equity or Law.

3. PERMITTED USES AND RESTRICTIONS:
3a) Installation
The Font may be installed and used on the number of computing devices listed on the sales receipt that belong to the Licensee. Under no circumstances may the licensed Font be shared with affiliates or stored in a manner that makes the Font accessible to the public or non- licensed third parties.
3b) Service Bureau/Printer
Commercial printers or service bureaus may be provided a copy of the specified Font on a per-project basis. Afterwards, the printer or service bureau must destroy the copies of the Font.
3c) Back-up Copies
A reasonable number of copies of the Font Software may be made for back-up purposes. Copies must contain the same documentation, copyright, trademark, and other proprietary notices that appear on, in or with the Font.
3d) Hardware and Software
This License expressly prohibits the embedding, inclusion, calling or linking of the Font Software within hardware and software in any form whatsoever. This includes, but is not limited to CSS rule @font-face linking, video games, server-side applications, online document creation, mobile apps and OEM products or software. If Licensee wishes to use the Font for such purposes, a separate license is available from Greyletter or authorized affiliates. Notwithstanding, rasterized images of limited text and/or logos created using the Font Software are permitted. Embedding the Font in digital documents is permitted providing the Font is subset and that reasonable measures are taken to ensure recipients of such documents cannot extract or use the embedded Font.

4. RIGHTS
4a) No Transfer of Rights
Licensee shall not sell, lease, sublicense, allow to use, or otherwise assign or transfer any of Licensee’s rights, duties or obligations under this Agreement, in whole or in part, to any person or entity. Without limiting the foregoing, Font Software licensed for use by a specific entity shall not be transferred to or used by other entities owned or managed by a common corporate parent, and/or affiliated with the specific entity to which this license has been granted, without the purchase of an additional license from Greyletter.
4b)Rights Reserved
Licensee agree that the Fonts and the design of the Fonts embodied therein are owned by Greyletter and the Fonts' structure, organization and code are the valuable trade secrets of Greyletter. Licensee acknowledges that the Fonts are, among other means, protected under United States trademark and/or copyright law, by the trademark and/or copyright and design laws of other nations, and by international treaties. All rights not expressly granted under this License are reserved to Greyletter.

5. WARRANTIES AND LIMITATIONS
5a) Greyletter represents and warrants that the Fonts will perform substantially in accordance with the representations made herein. To make a warranty claim, Licensee must notify Greyletter in writing. If the Font does not perform substantially in accordance with the representations, the entire and exclusive liability and remedy shall be limited to the replacement of the Font Software or the refund of the license fee paid for the Font.
5b) GREYLETTER EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. GREYLETTER DOES NOT WARRANT THAT THE OPERATION OF THE FONT WILL BE UNIMPEDED, UNINTERRUPTED OR ERROR-FREE, OR THAT THE FONTS ARE WITHOUT DEFECTS. WITHOUT LIMITING THE FOREGOING UNDER NO CIRCUMSTANCES SHALL GREYLETTER BE LIABLE TO LICENSEE OR ANY OTHER PARTY, WHETHER IN CONTRACT OR TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING LOST PROFITS, LOST SAVING, LOSS OF DATA, SAVINGS OR BUSINESS INTERRUPTION AS A RESULT OF THE USE OF OR THE INABILITY TO USE THE FONTS EVEN IF NOTIFIED IN ADVANCE OF SUCH POSSIBILITY.

6. CHOICE OF LAW
Licensee expressly agrees that this Agreement shall be governed by the laws of the State of Maine, USA, as they apply to contracts wholly performed therein and without respect to its conflict of laws provisions or the conflict of laws provisions of any other jurisdiction. Licensee expressly submits to the jurisdiction of the state and federal courts in the forum selected by Greyletter for the purposes of resolving any dispute arising under this Agreement and Licensee expressly waives all defenses arising out of the selection of the jurisdiction and forum elected by Greyletter for the resolution of any dispute and agree to service of process by mail. Licensee hereby expressly agrees that the application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. This Agreement may only be modified in writing, signed by an authorized officer of Greyletter.

7. MISCELLANEOUS
This Agreement represents the complete and exclusive statement of the agreement between Licensee and Greyletter and it supersedes any proposal or prior agreement, oral or written, and any other communications relating to the subject matter of this Agreement. No variation of the terms of this Agreement or any different terms will be enforceable against Greyletter in the absence of an express written amendment or consent, including a written express waiver of the affected terms of this Agreement. If any provision of this Agreement is declared by a court of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions of this Agreement shall continue in full force and effect, and the invalid provision shall be replaced by Greyletter with a provision that effects the intent of the invalid provision.

The Fontspring Webfont End User License Agreement
Version 1.7.0 - February 26, 2017

By downloading, installing and/or embedding font software (“Webfont”) offered by Fontspring or its distributors, you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”):

1. Right Granted
Fontspring grants Licensee a perpetual, worldwide, non-exclusive and non-transferrable license to link the Webfont to Websites using the @font-face selector in CSS files.

2. Requirements and Restrictions
Licensee agrees to abide by the following requirements and restrictions:
a. Licensee must use the Webfont provided by Fontspring under this EULA. Licensee may not link to the full, CFF OpenType or TrueType font designed for desktop installation.
b. Licensee must include the entire commented header in the provided CSS file.
c. The total traffic of the Website(s), measured in pageviews per month, may be no greater than the number of pageviews specified in the Invoice.
d. Licensee may only install the Webfont on Websites that it owns or controls.
e. Licensee may embed Webfont in reports generated by the Website(s), provided that Licensee does not sell the reports for profit.

3. Provision to Third Parties
Licensee may temporarily provide the Font to a producer, publisher or other agent who is working on behalf of the Licensee.

The third party designer, developer, agent, or independent contractor must:
(1) Agree in writing to use the Font exclusively for Licensee's work, according to the terms of this EULA.
(2) Retain no copies of the Font upon completion of the work.

4. Term
This EULA grants a perpetual license for the rights set forth in Paragraph 1 unless and until the EULA terminates under Paragraph 8. Fontspring will not charge additional fees post purchase, annually or otherwise.

5. Other Usage
Licenses for desktop use, computer applications and games, installable interactive books, software, mobile applications and games, Ebooks and Epubs, product creation websites, website template distribution, website templates, and other uses not allowed by this EULA may be available for an additional fee. 6. Modifications
Licensee may not modify the Webfont or create derivative works based upon the Webfont without prior written consent from Fontspring or the owning foundry EXCEPT THAT Licensee may generate files necessary for embedding or linking in accordance with this EULA.

7. Copyright
The Webfont is protected by copyright law. The Foundry is the sole, exclusive owner of all intellectual property rights, including rights under copyright and trademark law. Licensee agrees not to use the Webfont in any manner that infringes the intellectual property rights of the Foundry or violates the terms of this EULA. Licensee will be held legally responsible, and indemnifies Fontspring, for any infringements on the foundry's rights caused by failure to abide by the terms of this EULA.

8. Termination
This EULA is effective until terminated. If Licensee fails to comply with any term of this EULA, Fontspring may terminate the EULA with 30 days notice. This EULA will terminate automatically 30 days after the issuance of such notice.

9. Refunds and Disclaimer
Fontspring will, at the User's request, provide a refund for the Font if:
a. The Font has not been used in any published or released work.
b. No more than 30 days have passed since the date of purchase, specified on the Invoice.
c. The Font has been uninstalled and deleted from all Licensee’s computers.

The Product is provided "as is." Fontspring makes no warranty of any kind, either expressed or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose.

Fontspring shall not be liable for any direct, indirect, consequential, or incidental damages (including damages from loss of business profits, business interruption, loss of business information, and the like) arising out of the use of or inability to use the product even if Fontspring or the foundry has been advised of the possibility of such damages.

Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to Licensee.

10. Governing Law
This EULA is governed by the laws of the United States of America and the State of Delaware.

11. Entire Agreement
This EULA, in conjunction with the invoice (“Invoice”) that accompanies each Font licensed from Fontspring or its distributors, constitutes the entire agreement between Fontspring and Licensee.

12. Modification
The Parties may modify or amend this EULA in writing.

13. Waiver. The waiver of one breach or default hereunder shall not constitute the waiver of any subsequent breach or default.

The Fontspring Ebook Font End User License Agreement

By downloading, installing and/or embedding font software (“Font”) offered by Fontspring or its distributors, you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”):

1. Right Granted
Fontspring grants Licensee a perpetual, worldwide, non-exclusive and non-transferrable license to:
a. Embed the Font into an unlimited number of copies, format types, and subsequent versions of Ebooks.
b. Modify or convert the Font to improve the font's appearance or performance in an Ebook.

2. Requirements and Restrictions
Licensee agrees to abide by the following requirements and restrictions:
a. Licenses may embed the Font in ONLY the number of Ebook titles indicated in the Invoice.
b. When the Licensee uses the Font provided by Fontspring under this EULA, and the Font file is distributed as part of an Ebook, the Font must be embedded within an archive file format that obscures the original data using compression, encryption, or obfuscation. Valid archive formats for the that meet these criteria include, but are not limited to, PDF, EPUB 2.01, EPUB 3, and KF8.
c. The Font must take the form of a non-executable file that is interpreted by e-reading software or e-reading devices.
d. The Font may not be installed in the operating system on which the Ebook runs.

3. Provision to Third Parties

b. Port the app to any other platform or console (iOS, Windows, Android, Linux, Playstation, Xbox, etc).
c. Modify or convert the Font to improve the Font's appearance or performance in the App.

2. Requirements and Restrictions
Licensee agrees to abide by the following requirements and restrictions:
a. Licensee may embed the Font into ONLY the number of Apps specified in the Invoice.
b. Licensee may not redistribute the Font with the App’s source code.
c. Licensee may not install the Font in the operating system the App runs on.
d. Licensee may not embed the Font in an App that enables an end user to create custom typesetting with the Font. (e.g. Photoshop Express for iOS, etc)
e. Licensee may embed the Font in reports that the App saves or exports, provided that the reports are not sold for profit.


3. Provision to Third Parties
The Licensee may temporarily provide the Font to a graphic designer, printer, agent, or independent contractor who is working on behalf of the Licensee. The Agents temporarily using the font are treated as licensed users and count toward the number of users specified on the Invoice. In the case of a single user license, the Licensee may temporarily provide the Font to a single third party without violating this EULA.

The third party designer, developer, agent, or independent contractor must:
(1) Agree in writing to use the Font exclusively for Licensee's work, according to the terms of this EULA.
(2) Retain no copies of the Font upon completion of the work.
